Terms of Service

These Terms of Service (“Terms”) govern your use of Yes I Do Inc (“Platform,” “we,” “our,” or “us”), a professional network that connects pre-vetted independent professionals (“Members,” “you,” or “your”) through referrals and shared opportunities.
By accessing or using the Platform, you agree to these Terms. If you do not agree, you may not use the Platform.
1. Services Provided
1.1 The Platform operates a network of pre-vetted independent professionals who refer opportunities and services to one another.
1.2 We facilitate introductions and referrals between members. Members may earn referral fees for connecting opportunities to other members, as defined in their individual Member Agreement.
1.3 We do not directly provide the products or services offered by members and act solely as a network facilitator.
2. Eligibility
2.1 You must be at least 18 years old and authorized to enter into binding contracts to use this Platform.
2.2 Professionals must provide accurate and verifiable information regarding their operations, services, and legal compliance.
2.3 Membership is subject to a vetting process. We reserve the right to approve, deny, or suspend participation in our network at our discretion.
3. Referral Fees
3.1 Referral fee amounts, triggers, and payment processes are defined in your individual Member Agreement, which is incorporated by reference into these Terms.
3.2 We reserve the right to suspend network access for non-compliance with the Member Agreement.
4. Member Responsibilities
4.1 You agree to: provide accurate information about your business and services; deliver professional, high-quality service to referred customers; promptly follow up on referrals; comply with all applicable laws.
4.2 You may not use the Platform for any illegal, fraudulent, or deceptive purposes. Any violation may result in termination and legal action.
5. Disclaimer of Warranties
5.1 The Platform and network services are provided “as is” and “as available.” We make no guarantees regarding the volume or quality of referrals.
5.2 We are not responsible for the services rendered by network members. Members are independent professionals, not employees or agents of Yes I Do Inc.
6. Limitation of Liability
6.1 To the maximum extent permitted by law, Yes I Do Inc shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Platform or referrals.
6.2 Our total liability under these Terms shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.
7. Indemnification
You agree to indemnify, defend, and hold harmless Yes I Do Inc, its affiliates, officers, employees, and contractors from any claims, damages, liabilities, costs, or expenses arising out of your use of the Platform, your interactions with other members or customers, or your breach of these Terms.
8. Term and Termination
8.1 These Terms remain in effect until terminated by either party.
8.2 Either party may terminate with 30 days’ written notice.
8.3 We may terminate immediately for cause, including fraud or violation of these Terms.
9. Dispute Resolution
9.1 Any disputes shall first be attempted to be resolved through good-faith negotiations between the parties.
9.2 If unresolved, disputes shall be submitted to binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association (AAA).
9.3 You waive your right to a jury trial or to participate in a class action lawsuit.
10. Changes to Terms
We reserve the right to update or modify these Terms at any time. Updates will be effective upon posting to the Platform. Your continued use of the Platform constitutes acceptance of the updated Terms.
11. Governing Law
These Terms shall be governed by and construed under the laws of the State of California, without regard to its conflict of law provisions.
